Company registrations

We tend to company registrations (Limitada Companies) which are based on a members interest, similar to a Closed Corporation in South Africa, however with limited liability. They need to be formed by a minimum of two shareholders. All documentation must be in Portuguese. Foreign citizens can register companies and it is not necessary to have a Mozambique partner.

Banking accounts and facilities

Off shore bank accounts can be opened by non citizens, we have various relationships with major banks in Mozambique to facilitate the accounts. US dollar, SA Rand and Metical based accounts are opened. It becomes part of the company registration process to have banks accounts in the formation of a company. No internet banking is provided yet, however one bank is in the process of launching internet banking.

Market Research and feasibility studies

We offer both market research and feasibility studies in most business sectors in Mozambique. Mozambique is a emerging market and many basic business services and facilities are either lacking in experience, or cannot meet the volumes required of them. We conduct these studies “on the ground” and draw information and figures from reliable sources.

Business plans and finance applications

We have experience and have drawn up many business plans for submission to the local financial institutions and private financiers or investors. Mozambique standards are not the same as in other Western countries and a business plan is the key to submission to either the Government or banks for financial assistance or project approval. We advise prospective businesses to exercise caution with business plans in the country, and to take advice from someone who is aware of what is required in the plan. We have a very strong business association with two of the major banks for financial assistance. We also have access to USA based financial solutions, as well as private business investors. Mozambique citizens are also very keen and ready to co-invest with foreign business partners.

Operations advice

When starting a business venture in a foreign country, one needs to be aware of the day to day operational “styles” in the host country. Local culture and local acceptable business practise is different as in other western countries, we advise on all these practises , which makes the new venture start without any unpleasant surprises along the way.

Land acquisition / ownership

This contentious issue has prevented many foreign investors from investing in Mozambique, however the system is effective and does secure the ownership of the land, in fact, all large financial institutions mortgage (bond) properties for 20 years, very much the same as the South African Title Deed system. However the Mozambique system does not allow anyone to acquire property which is not going to be utilised, the property you acquire needs to be for a purpose or project and this needs to start within the first two years of acquisition. We are able to facilitate and conclude all land acquisition and formalise all the documentation to secure ownership

Building plan approval and building licenses

Normally along with land acquisition is building plan approval and building licenses, these are very strictly controlled, which is contradictory to the rumours that go around, many people have acquired land via tribal systems and built beach homes or small resorts only to have them lost again due to the incorrect procedures of acquisition and building construction laws. We facilitate these along with the acquisition and formalise all the legalities that are necessary to have legal ownership for a 50 year term with the option of renewing for another 50 years.

Trade Licenses and Government legislation requirements

Mozambique has very strict regulations as far as the government issued business licenses are concerned, they are also policed regularly and the consequences for non compliance and severe. Every entity that trades in any form needs a license and these are facilitated by us, to ensure compliance to all requirements.

Taxation / Finance / exchange control requirements

We advise on all taxation requirements , tax “holidays”, government incentives to investors, exchange control requirements and any financial law that may effect your investment or business. We have a CA , as a Director of our company, who is based in Maputo and has hands on experience of all these requirements and benefits to the investor or entrepreneur. We also advise clients to submit the entire project to CPI (Mozambique’s Investment Promotions Agency) for consideration, this protects the client’s investment an guarantees the repatriation of Capital Investment, profits and dividends to the country of origin. CPI is a highly success Government initiative and is largely responsible for the countries new found success in attracting foreign investment

The Mozambique legal system requirements

The Mozambique legal system is complicated yet simple, thus our in house Attorney (Director), based in Maputo, can advise on all the matters, and act for clients at any venue in Mozambique. All Mozambique law is Portuguese based, and in the Portuguese language, however we provide translation services and advice on any such matter

Contracts (English and Portuguese)

Most contracts in Mozambique need to be in Portuguese, this is the official language and in certain circumstances English contracts are allowed, however they need to be fully translated for the Public Notary. All contracts need to be notarised to be legal, and in certain circumstances they need to contain endorsements from the Ministry of Finance for legal reasons. We provide all these services via our in house Attorney. We also have an in house South African based Commercial Attorney (Director) for consultations across the border into South Africa.

Visa and Permanent residence applications

We are able to assist with permanent residence applications via the Department of Immigration, we have a great working relationship with them and normally the permanent residence is granted within 45 working days. D.I.R.E. the permanent residence is valid for between 1 and 5 years and is renewable without any problem

Project Management

We are currently project managing a Hotel construction, a SA based franchise business, a low cost housing development project, and are able to provide these services at various levels of involvement. More often than not we simply facilitate all formalities and requirements and provide on going advice and assistance to client for years.
